In more than 40 years of practice, Jim Cheek has advised a wide variety of public companies in the areas of corporate governance, mergers and acquisitions, private equity transactions and securities offerings. From his office in Nashville, Tennessee, he has been at the center of significant national transactions, including the largest domestic leveraged buyout in the history at the time, of a healthcare company. He routinely represents boards of directors and special committees of boards in matters involving activist shareholders and strategic decisions.

Jim has an active regulatory practice, advising companies in need of an independent review of regulatory policies and procedures. He led a team of Bass, Berry & Sims attorneys after the firm was engaged as the Regulatory Auditor of the New York Stock Exchange from 2005 to 2013. Jim has earned a national reputation in corporate and securities law and has been recognized by Chambers USA as an “exceptional practitioner” who is “the best of the best.” (from Chambers USA 2013) Working closely with senior executives, as well as directors of some of the nation’s largest public companies, his practice involves:

  • Guidance on capital raising and merger and acquisition activities.
  • Guidance on corporate governance and corporate legal compliance.
  • Representation of special committees of boards of directors of public companies in going private, internal investigation and derivative litigation matters.
  • Representation of public companies in successful joint ventures, spin offs and other complex corporate reorganization matters.
  • Representation of numerous private companies in merger and acquisition and financing transactions.
  • Counsel for the independent directors of mutual funds.

In addition to his corporate and securities law practice, Jim is a faculty member at Vanderbilt University Law School where he serves as Professor of Practice and teaches a course on representing public companies. Jim is also a frequent lecturer at national CLE programs on securities regulation and corporate governance.

We have served as counsel for issuers or underwriters on more than 90 public offering and institutional private offering transactions in the last five years.

-Public offerings of debt securities, including medium-term notes.

We also have significant experience representing issuers and underwriters in real estate investment trust (REIT) offerings in the student housing, apartment, office, retail, healthcare, hotel, prison, commercial and industrial, and self-storage sectors, including IPOs, subsequent financings, REIT joint ventures, REIT conversion transactions and REIT securitization transactions. In the last three years, we completed offerings totaling more than $2.6 billion for REITs.
